OCUS Sponsorship Terms and Conditions

These Terms and Conditions (the "Terms") govern the sponsorship of Odoo Community United States ("OCUS", "we", "us", or "our") by any person or organization that purchases, confirms, or otherwise agrees to a sponsorship (the "Sponsor", "you", or "your"). By submitting a sponsorship order, signing an order form, or paying a sponsorship invoice, the Sponsor agrees to be bound by these Terms.

1. Definitions

  • OCUS — Odoo Community Association USA, an independent, non-profit organization supporting the Odoo community in the United States.
  • Sponsorship Package — the annual sponsorship tier selected by the Sponsor (e.g., Bronze, Silver, or Gold), together with the benefits described for that tier on the OCUS website at the time of purchase.
  • Sponsorship Benefits — the visibility, content, and participation items included in the selected Sponsorship Package.
  • Event — any conference, meetup, code sprint, or other gathering organized or co-organized by OCUS during the Term.
  • Sponsor Materials — logos, trademarks, text, links, images, and any other content the Sponsor provides to OCUS.

2. About OCUS and Independence

OCUS is a community organization run on a not-for-profit basis. OCUS is independent and is not affiliated with, endorsed by, or sponsored by Odoo S.A. "Odoo" is a trademark of Odoo S.A. and is used by OCUS for identification and descriptive purposes only. Sponsorship of OCUS does not create any relationship between the Sponsor and Odoo S.A.

3. Sponsorship Packages and Term

3.1 Sponsorship is sold on an annual basis. The Term begins on the date the sponsorship is confirmed (or the date stated on the order/invoice) and continues for twelve (12) months, unless otherwise agreed in writing.

3.2 The specific Sponsorship Benefits depend on the tier selected and are those published on the OCUS website at the time of purchase. OCUS may improve or substitute benefits of equivalent value where reasonably necessary.

3.3 Sponsorship does not guarantee exclusivity in any industry or category unless expressly agreed in writing.

3.4 Renewal. Sponsorships do not renew automatically unless stated otherwise at purchase. OCUS may contact the Sponsor before expiry with renewal options.

4. Fees, Invoicing, and Taxes

4.1 The Sponsor shall pay the fee for the selected Sponsorship Package as set out on the OCUS website, order form, or invoice (the "Fee").

4.2 Unless stated otherwise, the Fee is due within [30] days of the invoice date, and Sponsorship Benefits may be withheld until payment is received in full.

4.3 All Fees are stated exclusive of any applicable taxes, duties, or levies (including VAT/IGIC/sales tax, as applicable), which are the responsibility of the Sponsor where required by law.

4.4 Fees are payable in [currency] by the methods indicated on the invoice.

5. Sponsor Deliverables and Deadlines

5.1 To receive the Sponsorship Benefits, the Sponsor must provide the required Sponsor Materials (for example, a vector logo, a website URL, and any agreed content) in the formats and by the deadlines reasonably requested by OCUS.

5.2 OCUS is not responsible for any failure to deliver a benefit that results from the Sponsor's late, incomplete, or non-compliant submission of Sponsor Materials.

6. Talks, Keynotes, and Content

6.1 Where a Sponsorship Package includes a speaking slot, the talk must present an open-source solution and be contributive and informative in nature. OCUS is a community organization and reserves the right to decline or require changes to content that is primarily a sales pitch, that is off-topic, or that does not meet this standard.

6.2 A product keynote (where included in the top tier) is the designated slot in which the Sponsor may present its own product or service.

6.3 OCUS retains editorial and programmatic control over all Events, including scheduling, running order, session length, format, and speaker logistics. Speaking slots are subject to the Sponsor submitting speaker details and content by the requested deadlines.

6.4 The Sponsor is responsible for the accuracy and lawfulness of its presented content and for ensuring it holds all necessary rights to any materials it presents.

7. Trademarks and Logo License

7.1 Each party retains all ownership of its own trademarks, logos, and intellectual property. Nothing in these Terms transfers ownership of any intellectual property.

7.2 The Sponsor grants OCUS a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the Sponsor's name and logo for the purpose of delivering and promoting the sponsorship (for example, on the OCUS website and sponsor directory, in newsletters, on event slides, and in announcements) during the Term and for a reasonable period afterward in archival or historical references.

7.3 OCUS grants the Sponsor a limited, non-exclusive, revocable license to use the "OCUS Sponsor" badge and to state that it is a sponsor of OCUS, solely in a truthful and non-misleading manner and only for the duration of the Term. The Sponsor shall not imply any endorsement beyond the fact of sponsorship.

7.4 Each party shall use the other's marks in accordance with any brand guidelines reasonably provided.

8. No Endorsement

Sponsorship provides visibility and a voice in the community; it does not constitute an endorsement, certification, or recommendation by OCUS of the Sponsor or of the Sponsor's products or services. OCUS does not endorse any commercial product as part of a sponsorship.

9. Code of Conduct

The Sponsor and its representatives must comply with the OCUS code of conduct and any applicable event or venue rules. OCUS may remove content, suspend benefits, or remove representatives from an Event for conduct that breaches the code of conduct, without refund.

10. Cancellation, Refunds, and Changes

10.1 Cancellation by the Sponsor. Sponsorship Fees are non-refundable once the sponsorship is confirmed, except where required by applicable law or expressly agreed in writing by OCUS.

10.2 Changes by the Sponsor. Requests to change tier or details after confirmation are subject to availability and OCUS's written agreement.

10.3 Changes by OCUS. OCUS may modify the date, format (including holding an Event online), location, or program of an Event. Such changes do not, by themselves, entitle the Sponsor to a refund, provided OCUS delivers Sponsorship Benefits of substantially equivalent value over the Term.

11. Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, illness or pandemic, government action, strikes, utility or network failures, or venue cancellation. If an Event cannot be held, OCUS will make reasonable efforts to provide equivalent visibility or to reschedule; this section does not create an automatic right to a refund.

12. Confidentiality

Any non-public information shared by one party and reasonably understood to be confidential shall be used only for the purposes of the sponsorship and not disclosed to third parties, except as required by law.

13. Data Protection

Each party shall comply with applicable data-protection laws (including the GDPR and any applicable U.S. state privacy laws) when processing personal data in connection with the sponsorship. OCUS processes Sponsor contact details to administer the sponsorship in accordance with its Privacy Policy, available at [link].

14. Warranties

The Sponsor represents and warrants that: (a) it has the authority to enter into these Terms; (b) it owns or is licensed to use all Sponsor Materials it provides; and (c) its Sponsor Materials and presented content do not infringe any third-party rights or violate any applicable law.

15. Indemnification

The Sponsor shall indemnify and hold harmless OCUS, its officers, volunteers, and agents from and against any third-party claims, damages, losses, and reasonable expenses arising out of the Sponsor's Sponsor Materials, presented content, breach of these Terms, or violation of law.

16. Limitation of Liability

16.1 To the maximum extent permitted by law, OCUS shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the sponsorship.

16.2 To the maximum extent permitted by law, OCUS's total aggregate liability arising out of or relating to the sponsorship shall not exceed the total Fees paid by the Sponsor for the relevant Sponsorship Package.

17. Termination

Either party may terminate the sponsorship for material breach by the other party that remains uncured [14] days after written notice. On termination for the Sponsor's breach, no refund is due and the Sponsor must immediately stop using the OCUS marks and the "OCUS Sponsor" badge.

18. Independent Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between them.

19. Governing Law and Disputes

These Terms are governed by the laws of [State / Country], without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of [City, State / Country] for any dispute arising out of or relating to these Terms, subject to any mandatory consumer protections that may apply.

20. Changes to These Terms

OCUS may update these Terms from time to time. The version in effect at the time a sponsorship is purchased applies to that sponsorship. Material changes will be communicated where reasonably practicable.

21. General

21.1 Entire agreement. These Terms, together with the order form/invoice and the Sponsorship Benefits described on the OCUS website, constitute the entire agreement between the parties regarding the sponsorship.

21.2 Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

21.3 Assignment. The Sponsor may not assign these Terms without OCUS's prior written consent. OCUS may assign to a successor organization carrying on the OCUS mission.

21.4 Notices. Notices shall be sent to the contact details on the order form or to [email].

21.5 No waiver. A failure to enforce any provision is not a waiver of it.
